NEW YORK, August 2, 2000 — The New York Stock Exchange (NYSE) announced that the board of directors of the Exchange today approved a dividend of $0. 55 per share of each common stock of PYCA, formerly known as Paycor Inc. (NYSE: PYC).

The board of directors also voted to increase the dividend by $0. 25 per common share after holding a special meeting on August 1, 2000, to reflect the fact that Paycor is a public company (public companies may issue dividends). The board voted unanimously to approve a new two-year corporate tax rate of 32. 2% and an income tax rate of 32.

As a result, the company will pay $0. 10 per common share in dividends for the second quarter, for a total of $110.

“The board was impressed with the results of this transaction as the first dividend increase to the company in over 4 years. We believe it will put the company on a sustainable path that will continue to provide substantial growth for the company. We would like to thank the management team for the strong financial performance during a difficult time,” said David Goldmark, Chairman of the Board.

A lot of people look at this as a way to short Paycom Software. First I hope you see that we have not. We have made a lot of progress to make your investment decisions for you better, faster, and more reliably.

This has many advantages. As you know, Paycom Software is one of the easiest and most reliable software solutions to invest on. And as you also know, we have improved it, so it is better than ever.

But what you might not know is that we also made a mistake, one that is a risk to your investment, one that is a risk to our growth, and one that we need to learn from.

We made mistakes when we decided to make it available for pay as you go (PAYG) options.

The bad news is this wasn’t as great a move as we thought it would be. In fact, if you look at the chart above, in many cases you might see we are right in thinking it wasn’t as great a move as we thought it would be.

We are building something better, and as we show you it now, and as you will see in this note after and after that, you can see we made good progress on it.

But, in addition to that, we have to recognize we made a mistake here. We did not make the changes in a way that could not have been supported by our market. And to that end, this is why you see that in the notes that follow some of the changes we made are really not very good changes.

Now in the end let me say this.

I’m not saying this is a great move for us. I’m not trying to sell you on it. I’m not trying to tell anyone not to make it. I just think we should have done it better.

And I want to tell you why. You see from the chart above that what we have, the way it’s set up right now, we still can make money.

Tips of the Day in Software

“If a machine can do one thing, it can do everything.

The goal of software development is to create software that provides “ease of use” as well as “reliability, flexibility, and performance”. The easiest way to evaluate a software program is to apply the mantra of “try it and see”. Try it at your desk – and you will likely learn a lot and learn more than you thought you could.

But how can one do that with a large, complex system such as the U.

For the uninitiated, the U. tax code is an extremely large and complex system. For example, it has more than 80% of all laws and regulations at one point or another. It is probably the largest and most difficult tax code ever designed. This is because virtually the only way to find laws and regulations in the IRS is to try and parse the tax code. That isn’t easy, but it is do-able.

The first step to evaluating a tax program is to try it.
