The following is a preliminary overview of an acquisition of software products by Xerox known as the Pahoda acquisition. For a more detailed description of the acquisition, see the news release and the article, “Why is the acquisition of Pahoda a big deal for Xerox and why should you care?” which appeared in April 1996 and was originally written by Bob Cottrell.
The Pahoda acquisition was publicly announced in the Xerox annual meeting and was covered by the media. The purchase was made by the Xerox Corporation, a wholly owned subsidiary of Xerox Corp. , a wholly owned subsidiary of the Xerox Corporation, Inc. of Emeryville.
The acquisition and disposition of Pahoda products was authorized by the Xerox Board of Directors on January 9, 1995 by resolution. The acquisition was completed by the Xerox Corporation on January 13, 1995. The acquisition included “all assets of Pahoda” and all rights in the products “acquired” by Xerox.

The acquisition was also supported by a letter of agreement which was signed by Bill O’Donnell, president of Xerox, and Larry Epp, Xerox’s senior vice-president of manufacturing services. Epp also signed as a corporate officer on behalf of Xerox.
The total acquisition cost was $23,056,078, which was $15. 7 million of cash and $9. 7 million of Xerox stock. The shares of Xerox held by Xerox in the Pahoda assets were valued at $8.
The Pahoda acquisition was the largest technology business acquisition made by Xerox during the period January 1, 1995 through June 30, 1995, with an aggregate value of about $12 billion. As the company’s second biggest acquisition, it was also the second largest technology acquisition the Xerox Corporation has undertaken in its history.

Small businesses, however, are in the same situation as a company selling a lot of products — they are not likely to use an enterprise software provider to manage their IT systems. Because of this, Novatech offers two companies that have the resources to manage their IT systems at a small business.

This is the company’s primary competitor, and it has the largest market share in the software industry.
Novatech is a member of the National Managed Office Provider (NMPO) and the Electronic Data Interchange (EDI) Alliance. It is a member of the EDI Alliance, a consortium of over 1,000 of the leading EDI software vendors in the United States and Canada.

Tips of the Day in Software
As I write this, I’m about to spend some time in my new office, and my office is empty. But not to worry, as tomorrow at 10:30AM we have a couple of things to discuss that I’ll keep you abreast of.
With this being a Friday, let’s start with another fun tip: writing software in C with the GNU C Library. A couple of years ago, I wrote a few lines of code to replace a couple of common header files in a C program. I’ve been using that for a few years now, and it’s got such a good reputation that I’ve gone back to using it a couple of times a week, and I’ve even started using it on projects that I’ve been tasked to write. Just a few lines of code really, but it’s a good way to learn how C works, and is a lot of fun if you’re up for trying to replace a lot of your header files. As long as you understand what you’re doing, it’s pretty easy to see how C is organized and how you can just start writing.
